These Terms and Conditions (“Terms”) govern all services, proposals, invoices, and engagements provided by APratap Group (“Company”, “we”, “us”, or “our”). By engaging our services, you (“Client”, “you”) agree to be bound by these Terms.
Nature of Services
Apratap Group provides professional services including but not limited to:
- Recruitment and talent acquisition
- IT and technical consulting
- Website and application development
- SEO, digital marketing, and online growth strategies
- E-commerce consulting and execution
- Branding, content, and business support services
All services are customized, skill-based, and execution-driven, delivered according to agreed scopes, timelines, and commercial terms.
Engagement & Scope Definition
Each engagement is governed by:
- Written proposals
- Email confirmations
- Invoices or service agreements
The defined scope includes deliverables, timelines, and responsibilities. Any work outside the agreed scope will require additional approval and may incur extra charges.
Client Responsibilities
The Client agrees to:
- Provide accurate inputs, approvals, and materials on time
- Appoint a single point of contact for coordination
- Respond promptly to avoid delivery delays
- Ensure content, data, or materials supplied do not violate third-party rights
Delays caused by the Client may extend timelines without penalty to Apratap Group.
Payments & Commercial Terms
- Fees are communicated before service commencement
- Advance or milestone payments may be required
- Services may be paused for delayed or incomplete payments
- All prices are exclusive of applicable taxes unless stated otherwise
No Refund Policy & Service Adjustments
All payments made to Apratap Group are non-refundable.
Due to the nature of customized, skill-based services:
- Once work has commenced, no refunds shall be issued
- At our discretion, unused service value may be adjusted toward another Apratap Group service
- Adjustments are subject to service availability and mutual agreement
- No monetary, cash, or bank refunds will be provided under any circumstances
Deliverables & Performance Disclaimer
- Deliverables are based on professional expertise and industry best practices
- Apratap Group does not guarantee specific outcomes, including rankings, revenue growth, hiring success, or lead volume
- Results may vary depending on market conditions, competition, platform changes, and client inputs
Intellectual Property & Usage Rights
Unless otherwise agreed in writing:
- All frameworks, strategies, templates, tools, and methodologies remain the intellectual property of Apratap Group
- Final deliverables provided to the Client are for internal business use only
- Resale, redistribution, or commercial reuse without written consent is prohibited
Recruitment-Specific Terms (If Applicable
For recruitment and staffing services:
- Candidate suitability is based on available information and interviews
- Hiring decisions remain solely with the Client
- Apratap Group is not responsible for post-joining performance, retention, or conduct of candidates
Third-Party Platforms & Dependencies
Some services may rely on third-party platforms such as job portals, hosting providers, ad platforms, or software tools. Apratap Group is not liable for:
- Downtime or policy changes of third-party services
- Suspension or restriction imposed by external platforms
Confidential Business Information
Both parties agree to maintain confidentiality regarding:
- Commercial discussions
- Project details
- Business strategies
This obligation continues even after service completion.
Limitation of Liability
To the maximum extent permitted by law:
- Apratap Group shall not be liable for indirect or consequential losses
- Liability, if any, shall not exceed the total service fee paid by the Client
- We are not liable for losses arising from client-provided data, decisions, or delays
Termination of Services
Apratap Group reserves the right to suspend or terminate services:
- For non-payment
- For breach of these Terms
- For misuse or unethical conduct
Termination does not entitle the Client to a refund.
Force Majeure
We shall not be held liable for delays or failure caused by circumstances beyond reasonable control, including natural events, technical outages, government actions, or labor disruptions.
Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Kanpur, UP India.
